End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“you” or “User”) and FizNex LLC (“we,” “us,” or “Company”) governing your use of Bentowise (the “Software”).

By purchasing, downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not purchase, download, install, access, or use the Software.

License Grant (Device-Based, One-Time Purchase)

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on one (1) device for which you purchased a license (the “Licensed Device”).

This is a one-time purchase license and not a subscription, unless otherwise stated at the time of purchase.

Activation Key Rules (One-Time, Non-Transferable)

Your purchase may include an activation code, license key, or similar credential (“Activation Key”).

  • One-time use: Each Activation Key is single-use and may be used to activate the Software once.
  • Tied to the Licensed Device: Once activated, the Activation Key is bound to the Licensed Device and cannot be transferred to another device.
  • Non-reversible: Activation Keys cannot be revoked, reset, reissued, or unbound once used, except where required by applicable law or expressly agreed by us in writing.
  • Re-authorization required: If you change the Licensed Device or materially modify its system configuration (including but not limited to operating system changes, hardware changes, or other major system component changes), you may be required to purchase a new license and complete a new activation.

Delivery and Performance of Service (Digital Delivery)

The Software is delivered digitally. Once the Software has been made available for download and/or an Activation Key has been delivered, and especially once the Software is downloaded and activated, the Software is deemed delivered and the service is considered provided.

Prohibited Uses

You may not, and may not permit others to:

  • Sell, resell, rent, lease, sublicense, distribute, or otherwise transfer the Software or any Activation Key.
  • Share, publish, or make available the Activation Key or license credentials to any third party.
  • Reverse engineer, decompile, disassemble, attempt to derive source code, modify, or create derivative works of the Software, except to the extent such restriction is prohibited by applicable law.
  • Bypass, disable, defeat, or tamper with licensing, activation, security, or anti-piracy mechanisms.
  • Use the Software for illegal activities or in violation of applicable laws.

Updates and Changes

We may provide updates, patches, or new versions of the Software at our discretion. Updates may be required for security, compatibility, or performance reasons. Unless otherwise stated, updates are governed by this Agreement.

Support and License Issuance Timing

After successful payment, the Activation Key and/or access to download the Software is typically provided automatically via a confirmation page and/or email.

If you do not receive your Activation Key or download access, contact us at [[email protected]]. We may manually re-send delivery details after verifying purchase information.

Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you breach any term. Upon termination, you must stop using the Software and delete all copies in your possession or control.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

We do not guarantee that the Software will be suitable for your specific needs or compatible with every environment, device, or configuration.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY DATA LOSS, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE THAT GAVE RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
